These Terms of Service govern the relationship between LotFlow and the dealership entities subscribing to the platform (each, a "Dealer" or "Tenant").
1. Subscription Plans, Fees, and Billing
- Subscription: Access is granted on a monthly or annual subscription basis under either the Starter Plan ($199/mo), Pro Plan ($349/mo), or Enterprise Plan ($599/mo).
- Payment & Invoicing: Fees are billed in advance via credit card or ACH and are processed by Stripe. All fees are non-refundable.
- Non-Payment & Suspension: If a subscription payment fails, LotFlow reserves the right to lock the workspace. As configured, database Row-Level Security (RLS) will automatically restrict access to the tenant's vehicles, contracts, and profiles, and the UI will redirect users to an "Account Suspended" screen. Access is restored upon payment.
2. Account Ownership & Data Portability
- Ownership: The Dealer retains full ownership of all vehicle inventory, contract parameters, customer files, and transactional data uploaded to their workspace.
- License to LotFlow: The Dealer grants LotFlow a limited license to host, process, and transmit this data solely to provide the services (e.g., generating PDF contracts, sending SMS alerts).
- Data Export: Upon termination of service, Dealers may request an export of their customer and vehicle records in CSV format.
3. Legal Compliance & Contract Disclaimers
- TILA Compliance: LotFlow provides calculators to assist Dealers with Truth in Lending Act (TILA) math. However, the Dealer is solely responsible for verifying the accuracy of contract parameters, interest rate disclosures, local tax rates, and state-specific finance guidelines.
- E-Signature Legitimacy: LotFlow facilitates electronic signatures under the U.S. ESIGN Act. The Dealer is responsible for ensuring their state laws recognize electronic signatures for automotive retail installment sales.
- Liability: LotFlow is not liable for legal disputes arising between a Dealer and their buyers regarding contract enforcement, repossession, or vehicle quality.
